Photographer's Name First Last Email and/or mobile phone number of the photographer Photo taken professionally * Yes No Agreement Consent form Equestrian Network, LLC (“EN”) with offices at 7500 Alameda Road Northwest, Albuquerque, New Mexico 87120, wishes to interview the individual named below (“I”), record their voice and image, conduct filming and photography, and/or use the photos and videos provided/submitted by them (“Recording”) in connection with the cross-country clinic with Sinead Halpin Maynard (“Work”), and also use these for the promotion and advertising of the Work and other advertising, promotional, and commercial purposes.
In exchange for the compensation that I hereby acknowledge receiving, I irrevocably grant “EN” permission and this right to interview me, film me, record my voice and image, and photograph me, and/or use the photos and videos provided/submitted (“Recording”) and also use my name, likeness, image, photo, voice, appearance, and other professional and personal attributes and information (“Likeness”) in connection with the Work and in accordance with the terms and conditions set forth in this consent and release (“Release”).
Hereby, I irrevocably grant and assign to EN and its affiliates, subsidiaries, licensees, distributors, agents, assigns, and transferees (“Licensees”), a perpetual, worldwide right to use my Recording, Likeness, as it appears in the Recording, and all materials and media created by EN or on its behalf that include my image (“Materials”), in connection with the Work and for any purpose, including but not limited to advertising, public information, and promoting EN and any other commercial purpose, in any media and format, on any platform, and using any technology and any means of transmission now known or hereafter devised, to display, perform, present, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, lease, license, use, and distribute, and also to allow others to use and distribute them; without the need for my subsequent consent or payment of any fee, money, or any other compensation to me.
I understand and acknowledge that EN is the exclusive owner of all rights, title, and interest in and to the Recording, Likeness, and Materials, including but not limited to all copyright rights, and these may only be used with the written permission of EN.
By this means: a) I irrevocably assign and transfer all my rights, ownership, and interests, if any, in the recordings and materials, including without limitation all intellectual property rights related to them — which includes all rights of registration, renewal, and restoration — to EN, permanently and worldwide; and b) I irrevocably waive any claims that I may have now or in the future in any jurisdiction regarding what is referred to as "moral rights" in the recordings and materials.
I confirm and agree that I have no right to review or approve the work, recording, or any of the materials, prior to their use by EN or at any other time, and that EN has no liability to me for any edits or changes to the work, recording, or materials, or the manner in which I present them on behalf of EN.
Furthermore, EN has no obligation to produce or use the work, recording, or materials, or to exercise any of the rights granted under this consent agreement.
To the fullest extent permitted by applicable law, I hereby: (a) irrevocably waive all my legal and equitable rights in connection with any claims, liabilities, losses, damages, demands, causes of action, and costs, including without limitation in cases of defamation, disparagement, invasion of privacy or right of publicity, infringement of intellectual property rights including without limitation copyright infringement, bodily or emotional harm, or violation of any other right or any similar claim or cause of action under any legal theory ("claims") that arise directly or indirectly from the exercise of rights by EN or its licensee under this consent agreement and/or the use of the work, recording, or materials; (b) agree not to bring any claims against EN or any licensee; and (c) forever release and discharge EN and its licensees from any liability arising from such claims.
This consent agreement constitutes my full understanding of the matters contained herein.
If any provision of this consent agreement is found to be illegal or unenforceable, that provision shall be modified only to the minimum extent necessary to remedy the defect, and the remaining provisions shall remain in full force and effect.
All matters arising from this consent agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, and I hereby irrevocably submit to the exclusive jurisdiction of the New Castle courts in Delaware.
This consent agreement shall be binding upon me and also upon EN and in favor of the successors, assigns, and legal representatives of each of us.
I acknowledge and warrant that I am at least 18 years of age (19 years if I am from Alabama or Nebraska and 21 years if I am from Mississippi), I have the right to contract in my own name, and I have no prior commitments that would limit or restrict my ability to sign this consent agreement.
I confirm that I have read this consent agreement prior to signing, understand its terms, voluntarily participate in this activity, and accept all risks associated with my participation.
I, the parent/legal guardian, hereby certify that I am the parent or legal guardian of the individual named above and express my consent and approval of this consent agreement on behalf of this person.
If the individual is under 18 years old (19 years if from Alabama or Nebraska, or 21 years if from Mississippi).
